Terms of Service

1) Parties and acceptance

• If you are a School/Organization, these Terms apply to your subscription and use of the Services.
• If you are an Authorized User (admin/teacher/staff/student/parent) using Edvaluator through a School, you agree to comply with these Terms and your School’s policies.

2) The Services

Edvaluator provides a cloud-based school management and real-time assessment platform, including modules such as student information management, attendance, grading, assessments, analytics, and communications, as enabled by the School’s plan.

3) Accounts and access

• Schools are responsible for creating/managing accounts and permissions for Authorized Users.
• Users must keep credentials confidential and notify the School/Edvaluator of suspected unauthorized access.
• You must not attempt to access data you are not authorized to view.

4) Customer Data and privacy

• Schools control configuration and the data uploaded to the Services (“Customer Data”), including Student Data.
• Edvaluator processes Customer Data to provide the Services and as described in the Privacy Policy and any applicable Data Processing Agreement (DPA).
• Schools represent they have the lawful right to provide Customer Data to Edvaluator and to authorize Edvaluator to process it for the Services.

5) Acceptable use

You may not:

• Use the Services for unlawful purposes
• Upload malware or attempt to disrupt the Services
• Reverse engineer or bypass security controls
• Infringe intellectual property or privacy rights
• Use the Services to send spam or abusive communications

We may suspend or terminate access for violations, security risks, or legal compliance needs.

6) Intellectual property

• Edvaluator owns the Services, software, and related intellectual property.
• Schools retain ownership of Customer Data.
• You grant Edvaluator a limited right to host, process, transmit, and display Customer Data solely to provide and improve the Services.

7) Fees and payment (Schools)

Fees, billing cycles, and plan details are as agreed in your order form, invoice, or subscription selection. Non-payment may result in suspension after notice.

8) Availability and support

We aim to provide reliable availability, but the Services may occasionally be unavailable due to maintenance, upgrades, or circumstances outside our control.

9) Third-party services

Some features may integrate with third-party services (e.g., analytics or payment providers). Edvaluator is not responsible for third-party services and their terms.

10) Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim warranties including merchantability, fitness for a particular purpose, and non-infringement.

11) Limitation of liability

To the maximum extent permitted by law:

• Edvaluator is not liable for indirect, incidental, special, consequential, or punitive damages.
• Edvaluator’s total liability for claims relating to the Services is limited to the fees paid by the School to Edvaluator in the 12 months preceding the event giving rise to the claim.

12) Term and termination

• These Terms remain effective while you use the Services.
• Schools may terminate according to their subscription/order form.
• Edvaluator may suspend/terminate for misuse, non-payment, or security/legal reasons (with notice where reasonable).
• Upon termination, Customer Data export/deletion will follow the School agreement and applicable law.

13) Changes

We may update the Services and these Terms. If changes are material, we will provide reasonable notice by posting updates on www.edvaluator.com or via in-product/email notice.

14) Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
